10.DISPUTE RESOLUTION BY MANDATORY BINDING ARBITRATION
10.1. Agreement to Arbitrate: EXCEPT WHERE PROHIBITED BY LAW, YOU AGREE THAT ANY CLAIM YOU MAY HAVE AGAINST ZAIDWOOD CAPITAL MUST BE RESOLVED THROUGH FINAL AND BINDING CONFIDENTIAL ARBITRATION. YOU WAIVE THE RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN A CLASS ACTION.
10.2. Arbitration Process: If you have a dispute with Zaidwood Capital, you agree to first contact us at contact@zaidwoodcapital.com to attempt to resolve the dispute informally. Any dispute that cannot be resolved within 120 days shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.The arbitration will:
- Be conducted by a single neutral arbitrator
- Take place in Sheridan, Wyoming (unless both parties agree to conduct it by telephone or written submissions)
- Be governed by the Federal Arbitration Act
- Result in a confidential written opinion
- Be final, subject to appeal under the Federal Arbitration Act
Payment of all filing, administration, and arbitrator fees will be governed by the AAA's Rules.
10.3. Class Action Waiver: You and Zaidwood Capital agree that disputes will only be arbitrated on an individual basis and shall not be consolidated on a class-wide or representative basis. You expressly waive any right to pursue any class or representative action against Zaidwood Capital.

11. ZAIDWOOD CAPITAL'S ADDITIONAL REMEDIES
In the event of any breach or threatened breach of these Terms, Zaidwood Capital may seek a temporary restraining order and injunctions from a court in Sheridan, Wyoming. You consent to the exclusive personal jurisdiction of, and venue in, the courts of Sheridan, Wyoming for such claims.

12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Zaidwood Capital and its directors, officers, employees, shareholders, licensors, contractors, affiliates, and agents from and against any claims, liabilities, damages, expenses, and costs arising from:
- Your use of the Website or Services
- Information you submit through the Website
- Your breach of these Terms
- Your violation of any law or third-party rights

These Terms shall be governed exclusively by the laws of the State of Wyoming without regard to its conflicts of laws principles. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts located in Sheridan, Wyoming.

18. ELECTRONIC SIGNATURE
