These Terms contain arbitration provisions under which you waive the right to have a claim heard in court, the right to a jury trial, and the right to participate in a class action.

Agreement to arbitrate. EXCEPT WHERE PROHIBITED BY LAW, YOU AGREE THAT ANY CLAIM YOU MAY HAVE AGAINST ZAIDWOOD CAPITAL MUST BE RESOLVED THROUGH FINAL AND BINDING CONFIDENTIAL ARBITRATION. You waive the right to a jury trial and the right to participate in a class action.

Arbitration process. You must first contact contact@zaidwoodcapital.com to attempt to resolve the dispute informally. Any dispute that cannot be resolved within 120 days shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. Arbitration will be before a single neutral arbitrator, will take place in West Palm Beach, Florida unless the parties agree otherwise, and will be governed by the Federal Arbitration Act. The arbitrator will issue a confidential written opinion, which is final subject to the appeal standards of the Federal Arbitration Act. Payment of fees is governed by the AAA rules.

Class action waiver. You and Zaidwood Capital agree that disputes will only be arbitrated on an individual basis and shall not be consolidated on a class-wide or representative basis.

On any breach or threatened breach of these Terms, Zaidwood Capital may seek a temporary restraining order or an injunction from the courts located in West Palm Beach, Florida. You consent to the exclusive personal jurisdiction and venue of those courts for such claims.

You agree to defend, indemnify, and hold harmless Zaidwood Capital and its directors, officers, employees, shareholders, licensors, contractors, affiliates, and agents from and against any claims, liabilities, damages, expenses, and costs arising from your use of the Website, the information you submit, your breach of these Terms, or your violation of any law or the rights of any third party.
